Modern corporate governance of hiring independent directors has failed miserably, as those at the top without any accountability will always find a way to take advantage of the company. There is a circle of alumni where the ties are based on the same family, workplace, or university where independent directors come from (it is not just in America).
High-level decisions are made, then people at the operational level are blamed for them. There is an active culture of malice and an intent to harm others.
Those at the top are malicious and clever with zero accountability, so the best thing you can do is actively document everything. However, even active documentation does not work because emails are not written on letterheads and are not signed off.
